Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ClarityUW platform operated by Per Diem Capital LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

ClarityUW is a carrier underwriting intelligence platform designed for licensed insurance agents. The Service provides condition lookup, medication lookup, and client profile analysis tools that help agents identify potential carrier matches based on underwriting criteria. The Service is intended as a decision-support tool only and does not constitute underwriting decisions, insurance advice, or carrier guarantees.

2. Eligibility

The Service is available only to individuals who are licensed insurance agents or authorized representatives of licensed insurance agencies. By using the Service, you represent that you hold a valid insurance license in your state(s) of operation. The Service is for professional agent use only and is not intended for consumer use.

3. Account Registration

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

Plans and Pricing: ClarityUW offers subscription plans as listed on our website. Prices are subject to change with 30 days' notice to active subscribers.

Billing: Subscription fees are billed monthly through Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis.

Free Trial: If a free trial is offered, you will not be charged during the trial period. Your subscription will automatically begin at the end of the trial unless you cancel before the trial expires.

Cancellation: You may cancel your subscription at any time through your Account settings or by contacting support@clarityuw.com. Upon cancellation, you will retain access through the end of your current billing period. No prorated refunds are issued for partial billing periods.

Refunds: All subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us within 14 days of the charge.

5. Promo Codes

Promotional codes may be offered at our discretion. Promo codes cannot be combined, transferred, or applied retroactively. We reserve the right to modify or discontinue promo codes at any time.

ClarityUW is a decision-support tool, not an underwriting authority. The carrier recommendations, condition lookups, and medication analyses provided by the Service are based on publicly available carrier underwriting guidelines and are intended to assist licensed agents in making informed carrier selection decisions.

We make no guarantee that any carrier will accept, approve, or issue a policy for any applicant. Underwriting criteria are subject to change by carriers at any time without notice to us. You are solely responsible for verifying current carrier guidelines before submitting any application.

ClarityUW is not an insurance company, general agency, broker-dealer, or underwriting authority. We do not sell, bind, or issue insurance policies.

8. Data Accuracy

While we make reasonable efforts to keep carrier underwriting data current and accurate, we cannot guarantee that all information in the Service is complete, accurate, or up to date at all times. Carrier rules change frequently. Always confirm underwriting requirements directly with the carrier or your upline before submitting applications.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, data compilations, and software — are the property of Per Diem Capital LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Per Diem Capital LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost commissions, declined applications, or lost business opportunities.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Per Diem Capital LLC from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

12. Modifications to Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email or in-app notification at least 14 days before changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Florida.
